Terms of Service

Effective Date: 1st March, 2025

1. Introduction

Welcome to WaveQuery Ltd ("WaveQuery," "we," "our," "us"). These Terms of Service ("Terms") govern your use of our website, APIs, and analytics services ("Services"). By accessing WaveQuery, you agree to these Terms. If you do not agree, do not use our Services.

2. Eligibility & Account Registration

  • You must be at least 18 years old and authorised to enter into contracts.
  • You are responsible for maintaining the security of your account credentials.
  • You agree to provide accurate account information and update it as necessary.

3. Subscription & Payment

  • WaveQuery operates on a subscription model with minimum commitments as outlined in your Order Form.
  • Payments are processed via Stripe. We do not store credit card details.
  • All subscription fees are non-refundable except for unused prepaid queries.

4. Service Usage & Restrictions

  • You may not reverse-engineer, resell, or exploit WaveQuery's platform.
  • You are responsible for complying with applicable data privacy laws when exposing analytics.
  • AI-generated results are for informational purposes only and not audit-grade.
  • White-labelling is permitted, but you must notify WaveQuery of your billing model.

5. AI & Machine Learning

  • Customers may select their preferred LLM (e.g., OpenAI, Anthropic, Gemini).
  • WaveQuery does not train AI models on your data unless you explicitly opt-in.
  • Query results are not stored, and AI interactions are ephemeral.
  • WaveQuery makes no warranties regarding the accuracy, reliability, or completeness of AI-generated query results. Customers acknowledge that AI-driven results are experimental and should not be solely relied upon for mission-critical, legal, financial, or compliance-related decisions.
  • WaveQuery disclaims all liability for decisions, actions, or business outcomes based on AI-generated data.

6. Data Security & Privacy

  • WaveQuery does not store customer data, except query logs for 90 days for security purposes.
  • Customers remain responsible for any PII exposed in queries.
  • Customer is solely responsible for ensuring that any Personally Identifiable Information (PII) or sensitive data queried via the Services complies with applicable privacy and financial regulations. WaveQuery does not store customer query results and shall not be held responsible for unauthorised or improper data exposure by the Customer.
  • Encryption, access controls, and AWS security best practices are in place.

7. Service Availability & SLA

  • 95% uptime commitment with free credits for excessive downtime.
  • Support is provided via [email protected], with escalation pathways available.
  • SLA limitations apply to third-party LLMs and integrations.
  • SLA credits are applicable only to downtime exceeding the 95% uptime commitment and shall be limited to a maximum of one (1) month's subscription fee. Credits do not apply to outages caused by third-party integrations, force majeure, or customer misconfigurations.

8. Termination & Account Deletion

  • You may terminate with 90 days' notice.
  • Termination requires full payment of onboarding and implementation fees if not already paid.
  • Upon termination, all account data will be deleted per our Data Retention Policy.

9. Liability & Indemnification

  • WaveQuery is not liable for incorrect query results or financial loss due to AI-generated outputs.
  • Customers must indemnify WaveQuery against legal claims resulting from misuse of the Services.
  • Our liability is capped at fees paid in the previous 12 months.

10. Governing Law & Disputes

  • This agreement is governed by the laws of Ireland.
  • Disputes shall be resolved via arbitration in Ireland.
  • In the event that arbitration is not feasible or is unenforceable under applicable law, disputes shall be resolved in the courts of Dublin, Ireland.

11. Updates to Terms

WaveQuery reserves the right to modify these Terms at any time. Updates will be communicated via email or platform notifications. Continued use of the Services after an update constitutes acceptance of the modified Terms.
